These Terms of Service (the “Terms”) govern access to and use of the website and AI-powered visual analysis platform (the “Platform”) operated by COPPELIS, a French company, whose registered office is situated at 27, avenue de l'Opéra, 75001 Paris, France, Register number 750 132 946 RCS Paris (the “Company”).

The Platform is available to both individual users and business users. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Definitions

• Individual User: any natural person using the Platform for non-professional purposes.
• Business User: any natural or legal person using the Platform in the course of a professional or commercial activity.
• Content: any images, videos, files, or data uploaded by a user.
• Services: AI-powered visual analysis services provided through the Platform.

2. Purpose of the Platform

The Platform provides automated visual analysis services based on artificial intelligence technologies, including but not limited to:

• image and video quality assessment,
• detection of events, objects, or anomalies,
• verification of predefined visual rules or criteria.

The Services are provided as decision-support tools only. Outputs generated by the Platform do not replace human judgment, professional expertise, or regulatory compliance obligations.

3. Access to the Platform

3.1 Eligibility

The Platform is accessible to:

• individuals of legal age with full legal capacity,
• legal entities acting through duly authorized representatives.

3.2 User Accounts

Access to certain Services requires the creation of a user account. Users agree to provide accurate, complete, and up-to-date information and to keep their login credentials confidential.

Users are fully responsible for all activities carried out under their account.

3.3 Free and Paid Services

The Platform may offer:

• free access with usage limitations,
• subscription-based plans,
• credit-based usage models,
• API access primarily intended for Business Users.

Pricing and plan details are available on the website and may be modified at any time.

4. Authorized Use

Users agree to use the Platform in compliance with applicable laws and these Terms.

Users are strictly prohibited from:

• using the Platform for unlawful, fraudulent, or deceptive purposes,
• uploading Content that infringes third-party rights (intellectual property, privacy, image rights, personal data),
• using the Platform for prohibited or high-risk purposes (including illegal surveillance, manipulation, or misleading deepfakes),
• attempting to compromise the security, integrity, or availability of the Platform,
• reverse engineering, copying, or exploiting the Platform or AI models without authorization.

5. User Content

5.1 Ownership

Users retain full ownership of their Content.

5.2 Limited License

Users grant the Company a non-exclusive, worldwide, limited license strictly necessary to host, process, analyze, and return results related to the Content for the purpose of providing the Services.

User Content is never used for advertising or commercial purposes without explicit consent.

5.3 User Responsibility

Users represent and warrant that they have all necessary rights and authorizations to upload and process the Content on the Platform.

6. AI-Generated Outputs

Outputs generated by the Platform are produced automatically and may contain errors, biases, or inaccuracies inherent to AI technologies.

The Company makes no guarantee regarding the accuracy, completeness, or suitability of the outputs. Users remain solely responsible for how outputs are interpreted and used.

7. Intellectual Property

The Platform, including its software, AI models, algorithms, interfaces, trademarks, and documentation, is protected by intellectual property laws and remains the exclusive property of the Company or its licensors.

No rights are granted to users other than those expressly set forth in these Terms.

8. Personal Data

Personal data processing is governed by the Privacy Policy, available on the website.

9. Liability

9.1 Individual Users

For Individual Users, the Company’s liability is governed by applicable consumer protection laws.

However, the Company shall not be liable for decisions made or actions taken based on AI-generated outputs.

9.2 Business Users

For Business Users, the Platform is provided “as is.”

To the maximum extent permitted by law, the Company shall not be liable for indirect or consequential damages, including loss of profits, loss of data, or business interruption.

In any event, the total liability of the Company shall be limited to the amounts paid by the Business User during the twelve (12) months preceding the claim.

10. Termination and Suspension

Users may stop using the Platform at any time.

The Company reserves the right to suspend or terminate access to the Platform in the event of a breach of these Terms, unlawful use, or security risk.

Paid Services are subject to specific termination conditions depending on the applicable plan.

11. Service Availability

The Company uses reasonable efforts to ensure Platform availability but does not guarantee uninterrupted or error-free access.

12. Changes to the Terms

The Company reserves the right to modify these Terms at any time. The version in force is the one published on the website at the time of use.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of France.

Unless mandatory law provides otherwise, any dispute shall fall under the exclusive jurisdiction of the courts having jurisdiction over the Company’s registered office.
